Netsparker® End User License Agreement (EULA)
This EULA is a legal Agreement between Netsparker Limited. (NL) and you (either as an individual or as another legal entity). This Agreement covers all Netsparker® software, data, documentation, written materials, files and information ("Software") which it accompanies.
If you do not agree with any term or condition, do not download, order, open, install or use the product package. Contact NL to arrange the return of the software and accompanying materials to NL at no charge to you.
License: On payment of a subscription fee covering a specific licence period, NS grants you the right to copy the Software onto a single computer for your own use for the duration of your licence period.
You are not granted any right to use, copy, modify, sell, resell, rent, lease, lend, transfer or provide commercial hosting services with any part of the Software.
Ownership: NL reserves all rights not expressly and/or fully granted to you in this EULA. The Software is protected by copyright and other intellectual property laws and treaties. NL owns the title, copyright, and other intellectual property rights in the Software. The Software is licensed, not sold.
Restrictions: Except as specifically permitted in writing, you may not: (a) Copy the Software except as provided in this Agreement or elsewhere by NL. (b) Sublicense or permit simultaneous use of the Software by more than one user. (c) Reverse engineer, decompile, or disassemble the Software. (d) rent, lease, or lend the Software. You may NOT transfer or assign this licence under any circumstances.
Use of Data: You agree that NL may collect and use technical information gathered as part of the product support services provided to you, if any, related to the Software. NL may use this information solely to improve our products or to provide customized services or technologies to you and will not disclose this information in a form that personally identifies you.
Ownership And Copyright Of Software: Title to the Software and all copies thereof remain with NL or its suppliers. The Software is copyrighted and is protected by copyright laws and international treaty provisions. You will not remove copyright notices from the Software. You agree to prevent any unauthorized copying of the Software. Except as expressly provided herein, NL does not grant any express or implied right to you under NL patents, copyrights, trademarks, or trade secret information.
Termination: This Agreement shall terminate automatically at the end of the licence period. NS may terminate this Agreement earlier without prior notice if You fail to comply with the limitations described in this Agreement. Upon termination, you must remove and destroy all copies of the Software.
No Obligation Created: Provision of any Software under this Agreement shall not create any obligation on NL to continue to develop, produce, support, repair, offer for sale or in any other way continue to provide or develop the Software either to you or to any other party.
Exclusion of Incidental, Consequential and Certain Other Damages: In no event shall NL be liable for any special, incidental, punitive, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits or confidential or other information, for business interruption, for loss of privacy, for failure to meet any duty including of good faith or of reasonable care, for negligence, and for any other pecuniary or other loss whatsoever) arising out of or in any way related to the use of or inability to use the software, the provision of or failure to provide support or other services, information, software, and related content through the software or otherwise arising out of the use of the software, or otherwise under or in connection with any provision of this EULA, even in the event of the fault, tort (including negligence), misrepresentation, strict liability, breach of contract or breach of warranty of NL, and even if NL has been advised of the possibility of such damages.
Governing Law: This licence is governed by the laws of England and Wales with the High Court in London as the court of ultimate jurisdiction.
